Love4aviation reserves the right to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms and Conditions of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Love4aviation grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

Definitions

In these Terms, unless the context requires otherwise:

“Business Day” means any day other than a Saturday, Sunday or statutory holiday in Auckland, New Zealand;

“Contract” means any written or oral contract, agreement, arrangement, transaction or dealing entered into or made by Love4aviation.com with any Customer for any Equipment, Duc Products or Services to which these Terms apply and are deemed to be incorporated in pursuant to Condition 1;

“Customer” means any Person or Persons purchasing Equipment, Duc Products and/ or Services from Love4aviation.com;

"Duc Products" means Duc Helices products sold by Love4aviation.com under a Contract;

"Equipment" means Safetyplane equipment sold by Love4aviation.com under a Contract;

“Love4Aviation.com” means the trading company of Love4aviation.com Limited;

“Person” includes a corporation sole and also a body of persons, whether corporate or unincorporated;

"Services" means Safetyplane web services provided by Love4aviation.com under a Contract;

“Terms” means these Terms of Trade:

Part A: General Terms;

Part B: Safetyplane Terms;

Part C: Duc Helices Terms;

"Website" means www.Love4aviation.com.

PART A – GENERAL TERMS FOR ALL PRODUCTS AND SERVICES

1. Application of Terms

1.1 The Terms contained in this Part A shall apply to, and are deemed to be incorporated in, all Contracts. Except where expressly agreed between Love4aviation.com and the Customer, no Contract shall exist between Love4aviation.com and the Customer except upon these Terms. Any order placed by a Customer is deemed to be an order incorporating these Terms notwithstanding any inconsistencies between these Terms and any such order.

2. Delivery of Duc Products and Equipment

2.1 Any delivery date agreed to by Love4aviation.com is approximate only and no delay in delivering Duc Products or Equipment shall entitle the Customer to cancel any order for Duc Products or Equipment, to refuse the Duc Products or Equipment or to claim damages.

2.2 Love4aviation.com shall, except where Love4aviation.com and the Customer expressly agree otherwise, choose the carrier and the method of transport for delivering the Duc Products or Equipment to the Customer.

2.3 Delivery of Duc Products or Equipment is deemed to be made:

a. when the Customer or the Customer’s agent takes possession of the Duc Products or Equipment at Love4aviation.com's premises or elsewhere; or
b. when the Duc Products or Equipment arrive at the Customer’s premises or a nominated airfield (whereupon any unloading of the Duc Products or Equipment shall be at the Customer's risk),
whichever is the earlier.

2.4 With effect from the time of delivery, the Equipment shall be at the Customer’s sole risk.

3. Returning Equipment

3.1 Immediately upon delivery, Duc Products and Equipment must be inspected by the Customer. If any Duc Products or Equipment are damaged, defective or have been lost, the Customer must advise Love4aviation.com of such damage, defective or loss within 3 Business Days, after which period Love4aviation.com shall accept no liability for damaged, defective or lost Duc Products or Equipment.

3.2 Love4aviation.com will not accept Duc Products or Equipment returned for credit where the Duc Products or Equipment have been supplied in accordance with the Customer's order.

4. No Right of Set-Off

4.1 The Customer has no right of deduction, set off or counterclaim against Love4aviation.com. The Customer agrees however, that all moneys which Love4aviation.com may owe the Customer on any account whatsoever may, at Love4aviation.com's option, be set off against payments due by the Customer to Love4aviation.com.

5. Exclusion of Implied Conditions and Warranties and Limitation of Liability

5.1 All conditions, warranties, representations, terms, undertakings and obligations on the part of Love4aviation.com expressed or implied by any statute, common law, equity, trade, custom, usage or otherwise (including, but not limited to, any conditions as to fitness or suitability for any purpose, merchantability or otherwise) are expressly excluded from these Terms and any Contract, to the fullest extent permitted by law.

5.2 Without limiting Condition 5.1, where the Customer is acquiring Duc Products, Equipment or Services from Love4aviation.com for the purposes of a business, the provisions of the Consumer Guarantees Act 1993 are expressly excluded from these Terms and from any Contract.

5.3 Save as expressly provided otherwise in these Terms, Love4aviation.com shall not be liable to the Customer, or any other Person for any direct, indirect, incidental or consequential damage or loss of any nature howsoever caused (whether based on tort (including negligence), contract or otherwise).

5.4 If, for any reason, Love4aviation.com is found liable to the Customer or any other Person in connection with the supply of any Duc Products, Equipment or Services to the Customer and/or the performance of its obligations under any Contract and Love4aviation.com is unable to rely on the exclusions of liability set out in this Condition 5, the liability of Love4aviation.com shall in all cases be limited to the price paid or payable by the Customer for such Duc Products, Equipment or Services.

6. Termination

6.1 The Customer may not cancel or vary an order for Duc Products or Equipment once it has been placed without the prior written consent of Love4aviation.com.

6.2 If the Customer:

a. refuses to accept any Duc Products or Equipment it has paid for and ordered from Love4aviation.com; or
b. breaches any of its obligations under these Terms and fails to remedy such breach within 14 days of the same occurring (whether or not Love4aviation.com has made formal demand upon the Customer to remedy such breach),

Love4aviation.com shall have the right to terminate any Contract it has with the Customer and/or to retain any payments made by the Customer under the Contract, all of which remedies shall be in addition to any right of action or remedy that Love4aviation.com may have against the Customer for any antecedent breach by the Customer of any Contract.

6.3 Any expenses, disbursements and legal costs incurred by Love4aviation.com in the enforcement of any rights contained in these Terms shall be paid by the Customer.

7. Agency and Sub-contracting

7.1 Love4aviation.com reserves the right to engage an agent or sub-contractor to perform any obligation of Love4aviation.com under any Contract.

8. Force Majeure

8.1 Love4aviation.com shall not be liable for any breach of its obligations under a Contract or these Terms where such breach results from causes beyond its reasonable control including but not limited to, acts of God, earthquake, fire, flood, storm, strike, insurrection, riots, embargoes, unpredictable delays in transportation, the requirements or regulations of any civil or military authority, acts of war or terrorism (each an “Event of Force Majeure”).

8.2 Love4aviation.com shall give written notice to the Customer immediately upon becoming aware of any Event of Force Majeure. Such notice shall contain details of the circumstances giving rise to the Event of Force Majeure.

9. Entire Agreement

9.1 These Terms and the provisions in the Duc Products, Equipment or Services order forms (together the "Contract") are the full agreement between Love4aviation.com and the Customer.

10. Waiver

10.1 Any failure or delay on the part of Love4aviation.com to insist on strict performance by the Customer of any provision of any Contract shall not be taken to be a waiver of such provision or of any rights of Love4aviation.com in relation thereto and shall not be treated as a waiver of the same provision on any subsequent occasion. To be effective any waiver of any or all of these Terms by Love4aviation.com must be in writing.

11. Customer's Covenants, Warranties and Indemnity

11.1 The Customer covenants with, and warrants in favour of, Love4aviation.com that no act or thing required to be done or omitted to be done by Love4aviation.com under any Contract or at the request or direction of the Customer could or shall render Love4aviation.com liable for prosecution or other action under any law, legislation, rule, ordinance, by-law or at common law.

11.2 The Customer indemnifies Love4aviation.com and holds Love4aviation.com harmless against any and all fines, penalties, damages, loss, costs or expenses (including but not limited to legal expenses) suffered or incurred by Love4aviation.com as a result of or arising from or in connection with any threatened or actual breach of the covenants and warranties given by the Customer pursuant to paragraph 11.1.

11.3 Love4aviation.com reserves the right to refuse or omit to do any act or thing (including complying with any request or direction of the Customer) which, in the reasonable opinion of Love4aviation.com, could, if done, give rise to a breach of any warranty given by the Customer pursuant to paragraph 11.1

12. Variation

12.1 Love4aviation.com may vary these Terms at any time. Changes will be posted on the Website. Customers are to check the Website regularly for updates.

13. Assignment

13.1 The Contract is personal to the Customer and may not be assigned or novated by the Customer in any circumstances.

14. Notices

14.1 Any notice to be given by Love4aviation.com or the Customer to the other pursuant to any Contract shall be in writing and shall be given by post or email by delivery to the postal address or email address of Love4aviation.com or the Customer, as applicable, last notified by the receiving party to the sending party, and shall be deemed to have been received:

a. on the second Business Day after the date of mailing, if sent by fastpost or airmail with the postage prepaid; and
b. in the case of an email, upon the earlier of:
i. receipt by the sending party of confirmation of successful delivery; or
ii. 2 Business Days after despatch, provided that the sending party does not receive any indication of failure or delay of delivery within 2 Business Days after despatch (and provided that "despatch" occurs when the relevant email first leaves the sending party's network for delivery to the receiving party's network).

15. Communication

15.1 Love4aviation.com may contact Customers by email from time to time. By accepting these terms of trade Customers are deemed to have provided their consent to such communication unless that consent is expressly withdrawn.

16. Severability

16.1 If any part of these Terms is held unenforceable by a court of competent jurisdiction, the remaining parts of these Terms will remain in full force and effect.

17. Governing Law and Jurisdiction

17.1 All Contracts (and these Terms) shall be governed by and construed in accordance with the laws of New Zealand and the Customer submits to the non-exclusive jurisdiction of the courts of New Zealand.

PART B – SPECIFIC TERMS FOR SAFETYPLANE EQUIPMENT AND SERVICES

The Terms contained in this Part B are deemed to be incorporated (in addition to all Terms contained in Part A of these Terms) in all Contracts for Equipment (excluding Duc products) and/or Services.

18. Orders and Subscriptions

18.1 Orders and subscriptions for Equipment and Services are to be made to Love4aviation.com via the Website or via a Love4aviation.com agent, and bind the Customer from the time of receipt of the order.

19. Customer Information

19.1 When purchasing Equipment or subscribing for Services, Customers must provide to Love4aviation.com:

a. All required documentation completed and signed (including bank account details and the required set up for direct debit billing in the case of subscriptions); and
b. All required information and characteristics of the aircraft the Services and Equipment will be used for.

20. Aircraft Information

20.1 Love4aviation.com supplies the Equipment and Services to Customers based on the information provided by the Customer about the aircraft that will be using the Equipment and Services. Consequently, Love4aviation.com relies wholly on the information provided by the Customer and accepts no responsibility for any loss or liability resulting from the Customer providing inaccurate or incomplete information to Love4aviation.com at the time of the Equipment order or when a Service subscription is submitted.

21. Pricing for Equipment

21.1 The Customer agrees to pay the price in effect at the time of processing the order.

21.2 Unless otherwise stated GST shall be in addition to all prices.

21.3 All freight, packaging, insurance and other relevant costs are charged to the Customer and will be added to the price as the total amount payable under this Condition 21.

22. Pricing for Services

22.1 Subject to any restrictions on pricing, the Customer must select whether the Services will be priced per hour or per month in accordance with the Contract.

22.2 The Customer may change from hourly pricing to monthly pricing or vice versa by making a request in writing to the address set out in Condition 14.

22.3 The Customer agrees to pay the prices in effect at the time of subscribing to the Services.

22.4 Love4aviation.com may adjust its prices for the Services at any time and will give the Customer two months notice before any pricing changes take effect.

23. Payment for Equipment

23.1 Payment for Equipment supplied under any Contract shall be made by the Customer at the time of placing the order (except when payment is made in accordance with paragraphs 23.4 to 23.7).

23.2 Customers who are individuals must pay for the Equipment via the Website by entering the required details for credit card payment.

23.3 Equipment will not be dispatched until full payment is received by France Aviation in cleared funds.

23.4 A Customer which is a company may be invoiced by Love4aviation.com for the Equipment if the following steps are completed prior to ordering the Equipment:

a. the Company must open a company account with Love4aviation.com by completing the on-line account opening form found on the Website and by providing any other requested information; and
b. Love4aviation.com confirms, at its sole discretion, that the information provided has been accepted and that the company account has been opened.

23.5 The Company will be invoiced in arrears for the Equipment.

23.6 The Company must pay the amounts owing under the invoice by the 10th day of the month following the placement of the order.

23.7 Interest may be charged on any amount owing after the due date at a rate of 2.5% per month or part month until payment of the amount owing and all related interest is made in full.

24. Payment for Services

24.1 Before subscribing for Services, Customers are to complete the direct debit form to advise the Customer's bank account details for the direct debit payments. The signed form must be returned to the address stipulated on the form for processing before the Services are provided.

24.2 Customers will be invoiced for the Services monthly in arrears. Love4aviation.com will send an invoice by the 5th day of the following month (the "Billing Month").

24.3 The amount indicated on the invoice will be paid from the Customer's account to Love4aviation.com by direct debit on the 10th day of the Billing Month.

24.4 In the event that the direct debit transaction fails due to insufficient funds, Love4aviation.com may choose to cancel the Customer's Services.

24.5 Customers must advise Love4aviation.com of any changes to the bank account details provided to ensure continuing direct debit payment. Failure to do so will result in the cancellation of the Customer's Services.

24.6 Queries about invoices are to be made in writing to Love4aviation.com at the address set out in Condition 14.

25. Personal Property Securities Act ("PPSA")

25.1 Customers who pay for Equipment in accordance with paragraphs 23.4 to 23.7, acknowledge that:

a. beneficial and legal ownership of the Equipment will remain with Love4aviation.com until payment for the Equipment is made in full;
b. these Terms create a security interest (as defined in the PPSA) in favour of Love4aviation.com in the Equipment;
c. the Customer undertakes to do such acts and provide such information as in Love4aviation.com's opinion may be necessary or desirable to enable Love4aviation to perfect any security interest created or provided by these terms, as a perfected security interest with first priority;
d. to the fullest extent permitted by law, the Customer waives any rights it may have now or in the future to receive a copy of any verification statement or other confirmation related to any security interest created or provided for by, or perfected in the manner contemplated by these terms.

26. Installation

26.1 The Equipment is to be installed at the expense of the Customer.

26.2 Installation is to be carried out by a person approved by Love4aviation.com. Love4aviation.com may recommend an installer but accepts no responsibility for any liability or loss incurred as a result of the installation of the Equipment.

26.3 If Equipment is installed by a person who has not been approved by Love4aviation.com, the Safetyplane Warranty (as defined in paragraph 31 of these Terms) will not apply to that Equipment.

27. Access to Services

27.1 The Services are only available via the website www.safetyplane.com (the "Supplier's Website").

27.2 The Services and the Equipment do not include services or software for accessing the internet. Internet access is the responsibility of the Customer.

27.3 In the event that the Supplier's Website is unavailable, the Customer has no right to any refund or indemnity from or claim against Love4aviation.com.

27.4 In the event that the Supplier's Website is disabled due to error or malfunction, the Customer has no right to any indemnity from Love4aviation.com.

27.5 The Customer recognises and accepts that Love4aviation.com can not be held responsible for any interruption or change to the access of the Services resulting from the internet network, the connection used by the Customer or as a result of any other exterior causes.

28. Cancellation of Services

28.1 If a Customer wishes to cancel their subscription to the Services they must give notice to Love4aviation.com in writing to the address set out in Condition 14.

28.2 Love4aviation.com will cancel the Customer's Services within 1 week of receiving notice from the Customer.

28.3 The Customer must pay in full all amounts payable under invoices issued by Love4aviation.com notwithstanding subsequent cancellation of the Customer's Services.

29. Consent of Owner

29.1 In the event that the Customer does not own the aircraft, the Customer warrants that the consent of the owner of every aircraft involved has been obtained for the installation of the Equipment. Love4aviation.com accepts no responsibility for any liability or loss incurred by the installation and use of the Services and Equipment in the event that the consent of the owner was not obtained before installation.

30. Safetyplane Warranty

30.1 Love4aviation.com warrants all Equipment against any defect for a period of 12 months from the date the Equipment is shipped to the Customer ("Safetyplane Warranty").

30.2 Love4aviation.com will use reasonable endeavours to repair/replace Equipment at its premises in New Zealand. In the event that the Equipment can not be repaired or replaced by Love4aviation.com, it will be sent to the supplier's premises in France for repair/replacement.

30.3 The Safetyplane Warranty is limited to the repairing and/or replacement of the defective parts. The Safetyplane Warranty excludes any costs incurred in the dismantling or re-installation of the Equipment.

30.4 All transportation costs incurred by a Safetyplane Warranty claim shall be borne by the Customer.

PART C – SPECIAL TERMS FOR DUC PRODUCTS

The Terms contained in this Part C are deemed to be incorporated along with all Terms contained in Part A of these Terms) in all Contracts for Duc Products.

31. Orders

31.1 Orders and subscriptions for Duc Products are to be made to Love4aviation.com via the Website or via a Love4aviation agent, and bind the Customer from the time of receipt of the order.

32. Price

32.1 The Customer agrees to pay the sale price in effect at the time of processing the order.

32.2 Love4aviation.com may adjust its prices at any time.

32.3 Unless otherwise stated GST shall be in addition to all prices.

32.4 All freight, packaging and other relevant costs are charged to the Customer and will be added to the purchase price as the total amount payable under this Condition 31.1.

33. Payment

33.1 Payment for Duc Products supplied under any Contract shall be made by the Customer at the time of placing the order (except where payment is made in accordance with paragraphs 33.4 to 33.7). All payments by the Customer must be made in full.

33.2 Customers are to pay for Duc Products ordered via the Website by entering the details required for credit card payment.

33.3 Duc Products will only be supplied to the Customer once full payment has been received in cleared funds by Love4aviation.com.

33.4 A Customer which is a company may be invoiced by Love4aviation.com for the Duc Products if the following steps are completed prior to ordering the Duc Products:

a. the Company must open a company account with Love4aviation.com by completing the on-line account opening form found on the Website and by providing any other requested information; and
b. Love4aviation.com confirms, at its sole discretion, that the information provided has been accepted and that the company account has been opened.

33.5 The Company will be invoiced in arrears for the Duc Products.

33.6 The Company must pay the amounts owing under the invoice by the 10th day of the month following the placement of the order.

33.7 Interest may be charged on any amount owing after the due date at a rate of 15% per annum or part annum until payment of the amount owing and all related interest is made in full.

34. Personal Property Securities Act ("PPSA")

34.1 Customers who pay for Equipment in accordance with paragraphs 33.4 to 33.7, acknowledge that:

a. beneficial and legal ownership of the Equipment will remain with Love4aviation.com until payment for the Equipment is made in full;
b. these Terms create a security interest (as defined in the PPSA) in favour of Love4aviation.com in the Equipment;
c. the Customer undertakes to do such acts and provide such information as in Love4aviation.com's opinion may be necessary or desirable to enable Love4aviation.com to perfect any security interest created or provided by these terms, as a perfected security interest with first priority;
d. to the fullest extent permitted by law, the Customer waives any rights it may have now or in the future to receive a copy of any verification statement or other confirmation related to any security interest created or provided for by, or perfected in the manner contemplated by these terms.

35. Returning Duc Products

35.1 In the event that a Customer places an order, and upon receipt of the Duc Products the Customer discovers an incorrect or incompatible product was ordered, the Customer may send the Duc Products back to the manufacturer provided that the Duc Products are sent back within 3 days of receipt and the Duc Products are, in the manufacturer's opinion, in re-saleable condition.

35.2 If a Customer returns Duc Products in accordance with Condition 34.1, the Customer may have the purchase price of the returned Duc Products credited towards the purchase of alternative Duc Products. The Customer will not be entitled to a refund except as required by law.

35.3 All costs of transport of the returned Duc Products and the replacement Duc Products incurred pursuant to this Condition 34 will be borne by the Customer.

36. Duc Guarantee

36.1 To claim the Duc Guarantee Customers are to contact Duc directly. Love4aviation accepts no responsibility whatsoever for anything arising as a result of a Customer making a claim under the Duc Guarantee.

36.2 Any claim under the Duc Guarantee will be subject to the General Terms of Sale of Duc.

36.3 Love4aviation will provide a copy of the Duc Terms of Sale and contact details upon request.
